Japara Acquired by Calvary

On 27 July 2021, Japara announced that it had entered into a Scheme Implementation Deed with Little Company of Mary Health Care Ltd (Calvary) for the acquisition of all of the issued shares in Japara by way of scheme of arrangement (Scheme).

The Scheme was unanimously recommended to shareholders by the Japara Board in the absence of a superior proposal and an Independent Expert concluded that the Scheme was fair and reasonable and in the best interests of Japara shareholders.

The Scheme was approved by Japara Shareholders on 21 October 2021 and by the Federal Court of Australia on 25 October 2021, and became effective.

Japara shares were suspended from official quotation on ASX from close of trading on 25 October 2021.

The Scheme was implemented on 5 November 2021, with Japara shareholders at 7.00pm on 29 October 2021 receiving $1.40 cash per share under the Scheme in exchange for their shares. This Scheme Consideration was paid on 5 November 2021.

Japara shares were removed from the offical list of the ASX with effect from close of trading on 8 November 2021.
